Energy Project Transactions

Sale of  Colorado Solar Projects Portfolio:  Represented the developer of multiple 100+ MW solar projects in Colorado in securing real estate agreements, overseeing complicated title review involving multiple adjoining parcels, as well as navigating complex archeologic resources and Endangered Species Act issues. Our team helped prepare the projects for sale, including the negotiation of necessary changes to PPAs and the development of a regulatory approval strategy.

Purchase of Portfolio of Renewable Projects:  Represented a large infrastructure fund with regard to the potential purchase of a company that owns and operates a large portfolio of hydroelectric and solar energy facilities. Our team assisted the client in running diligence on the various projects, including the varied energy revenue streams within multiple regulatory frameworks.

Multistate Transmission Project Development:  Our team represented the developer of an approximately 300 mile high-voltage interstate transmission line in securing all land rights necessary for the project. After preparing form options, easements and survey permission agreements, we negotiated changes to these forms with multiple individual landowners and guided the developer through regulatory and land use approval processes across numerous jurisdictions.

Hydrogen Electrolyzer and Gas Blending Facility:  The firm represented the owner of a natural gas-fired power plant in drafting and negotiating project development and sale agreements for a co-sited hydrogen electrolyzer that would blend hydrogen gas (produced from excess renewable energy) with natural gas.

Inaugural Power Procurement for Electric Cooperative:  Worked with an electric cooperative association in soliciting and negotiating a uniquely structured PPA for a firm energy product, in anticipation of the cooperative’s partial exit from its long-term wholesale supply contract. The procurement and negotiation involved a mix of local demand-side resources, local utility-scale generation resources and geographically diverse generation and storage resources.

Sale of Mothballed Peaking Plant: Represented an independent power producer in the sale of a natural gas-fired peaking facility with an expired PPA to a major electric utility. We negotiated the purchase and sale agreement and then represented the seller in a state regulatory proceeding to approve the transaction and helped negotiate a multi-party settlement to resolve the case.

Solar Project Agreements for Underserved Communities:  Provide ongoing transactional counsel to GRID Alternatives, a nonprofit organization promoting equitable access to clean energy solutions.  In support of community-, utility-, commercial- and residential-scale solar projects in numerous states and on Tribal lands, our team has drafted and negotiated EPC contracts, build-transfer agreements, purchase and sale agreements, interconnection agreements, community solar subscription agreements, leases and easements.

Solar on Landfills:  We represented a large, national waste management company in developing solar facilities on numerous active and closed landfill sites across the country. Our team coordinated with various energy development companies in applying for local permits and approvals that are sufficiently protective of sensitive environmental conditions at the sites, and negotiated site access agreements, leases, and other real estate contracts.
